1. Acceptance of Terms

By accessing or using Denari's website (getdenari.app), hosted services, or open source software, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

Denari provides accounting software available in three forms:

  • Open Source Self-Hosted: Free to download, deploy, and use on your own infrastructure under the applicable open source licence.
  • Hosted Service: A managed version of Denari hosted and maintained by us, available on a paid subscription basis.
  • Enterprise Custom: A fully managed deployment - on-premise or cloud - tailored to your organisation's requirements.

3. Open Source Licence

The self-hosted version of Denari is released under an open source licence. Your use of the source code is governed by the terms of that licence as published in the project's GitHub repository. These Terms of Service apply to your use of our website and hosted services, not to the open source software itself.

4. Account Registration

To use our hosted services, you may need to create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised access

5. Hosted Service Terms

Availability

We strive to maintain high availability of our hosted service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice.

Data ownership

You retain full ownership of all data you store in Denari. We do not claim any rights to your financial data or business information.

Backups

We perform regular backups of hosted service data. However, we recommend maintaining your own backups where possible.

6. Payment Terms

For paid services:

  • Fees are billed in advance on a monthly basis
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in suspension of your hosted service

7. Consulting Services

Our consulting services - including installation, configuration, break-fix support, and custom module development - are provided under separate statements of work. Consulting engagements will be scoped and priced on a per-project basis.

8. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the integrity of our services
  • Transmit malware, viruses, or harmful code
  • Use our services to store or process data in violation of applicable laws

9. Intellectual Property

The Denari name, logo, and website design are our intellectual property. The open source codebase is licensed separately. You may not use our branding without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Denari shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that our services will be error-free or uninterrupted.

12. Indemnification

You agree to indemnify and hold Denari harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

13. Termination

Either party may terminate the hosted service agreement at any time. Upon termination:

  • Your access to the hosted service will cease
  • We will make your data available for export for 30 days
  • After 30 days, your data will be permanently deleted

Use of the open source self-hosted version is not affected by termination of hosted services.

14. Governing Law

These terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.

15. Changes to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms. Material changes will be communicated with reasonable notice.
